Welcome to the ProSourcing Program by Airparts.aero ("Airparts Aero," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the ProSourcing subscription service (the "Service"). By signing up for or using the Service, you ("Subscriber," "you," or "your") agree to be bound by these Terms.

1. Description of Service

The ProSourcing Service is a subscription-based program designed to provide aircraft parts brokers, resellers, and other aviation professionals with advanced parts research, sourcing, and market intelligence. The Service includes, but is not limited to:

• Acting as a sourcing agent to research the availability and pricing of aircraft parts.
• Providing reports on part conditions and pricing from a network of global suppliers.
• Offering technical research services and priority quote responses.
• Access to exclusive marketplace benefits, including reduced seller fees and discounted shipping rates through the ShipHub program (when applicable).

2. Subscription Plans & Billing

2.1. Subscription Plans: We offer two pricing plans for the Service:

• Monthly Plan: $295 USD per month, billed on the first (1st) day of each month.
• Annual Plan: $3,195 USD per year, billed annually on the anniversary of your subscription start date. This represents a 10% savings compared to the Monthly Plan.

2.2. Research Quotas:

• Each subscription plan includes a quota of up to fifty (50) line items for ProSourcing research per calendar month.
• Unused research items do not roll over to the next month.
• Subscribers may purchase additional blocks of fifty (50) research items for a fee of $249 USD per block.

2.3. Payment and Renewal:

• By providing a payment method, you authorize us to charge you the applicable subscription fees on a recurring basis.
• Your subscription will automatically renew at the end of each billing cycle (monthly or annually) unless you cancel it in accordance with Section 3.

3. Term and Termination

3.1. Term: Your subscription will remain in effect for the term you select (monthly or annual) and will automatically renew for subsequent periods of the same duration.

3.2. Cancellation by Subscriber: You may cancel your subscription at any time through your account dashboard or by contacting customer support. To avoid being charged for the next billing cycle, you must cancel at least forty-eight (48) hours before your renewal date. No refunds will be provided for partial subscription periods.

3.3. Termination by Airparts Aero: We reserve the right to suspend or terminate your access to the Service immediately and without notice for any breach of these Terms, including non-payment of fees.

4. Service Limitations & Disclaimers

4.1. Sourcing Agent Role: You acknowledge that Airparts Aero, in its capacity as a ProSourcing agent, is providing a research and sourcing service. We are not the seller of record for parts sourced through third-party suppliers. All transactions for such parts are between you and the third-party supplier, subject to their terms and conditions.

4.2. No Guarantee of Winning Bids: The Service is designed to provide you with pricing and availability information to increase the number of RFQs you can bid on. We do not guarantee that you will win any specific bid. Your success is dependent on your own pricing, business practices, and client relationships.

4.3. ROI Calculator: The ROI Calculator provided on our website is an estimation tool for illustrative purposes only. The calculations are based on the data you provide and our internal assumptions. Airparts Aero makes no warranty or representation as to the accuracy of these estimates or the actual revenue you may generate.

5. User Obligations

• You agree to provide accurate and complete information when submitting research requests.
• You are responsible for maintaining the confidentiality of your account credentials.
• You agree not to use the Service for any unlawful purpose or in any way that could harm our business or reputation.

6. Intellectual Property

All content and technology associated with the Service, including our website, reports, and software, are the exclusive property of Airparts Aero and its licensors and are protected by intellectual property laws.

7. Limitation of Liability

To the fullest extent permitted by law, Airparts Aero shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your access to or use of the Service.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
